Thank you for using our multi-vendor e-commerce website and related apps (“Services” or “marketplace”). The MyCarthouse Marketplace Services are provided by Cledor Ltd. (“Cledor” or “MyCarthouse” or “MyCarthouse.com”) (“the Company”), with a registered address at 7 Akweiman Close, Accra – Ghana.

By using our Services, you are agreeing to these terms. Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the https://www.MyCarthouse.com website and related application(s) (the “Service”) operated by Cledor (“us”, “we”, or “our”).

Our Services are very diverse, so sometimes additional terms or product requirements (including age requirements) may apply. Additional terms will be available with the relevant Services, and those additional terms become part of your agreement with us if you use those Services.

You may not access or use the Services or the marketplace and may not accept the Terms and Conditions if (a) you are not of legal age to form a binding contract with MyCarthouse.com, or (b) you are not permitted to receive any Services under the laws of Ghana or other countries/regions including the country/region in which you are resident or from which you access and use the Services and the marketplace.

Terminology
The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice, and any or all Agreements:

“Client”, “You” and “Your” refer to you, the person accessing this website or app and accepting the Company’s terms and conditions.

“The Company”, “Ourselves”, “We” and “Us” refer to our Company.

“Party”, “Parties” or “Us” refers to both the Customer and ourselves, or either the Customer or ourselves.

All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether through formal meetings of a fixed duration or by any other means, with the express purpose of meeting the Client’s needs in terms of providing the Company’s declared services/products, following and subject to applicable Ghanaian laws.

Any use of the above terminology or other words in the singular, plural, capital letters, and/or plural, and/or these terms, is considered interchangeable and therefore a reference to them.

Using our Services
Subject to your compliance with these Terms and Conditions including our policies and rules, and your payment of any applicable fees, MyCarthouse or its content providers grant you a limited, non-exclusive, non-transferable, and non-sublicensable license; to access and make personal and non-commercial use of the MyCarthouse Marketplace Services or contents, except for Services that are directly offered on the platform by MyCarthouse for commercial or business use and following their related policies and rules. The use of any content or materials on the platform for any purpose not expressly permitted in these Terms and Conditions is prohibited.

You agree that (a) you will not copy, reproduce, download, re-publish, sell, resell, or distribute any Services or any information, text, graphics, images, video clips, sound, directories, files, databases, etc available on or through the marketplace (the “Website or App Content”), and (b) you will not copy, reproduce, download, compile or otherwise use any Website or App Content to operate a business that competes with MyCarthouse or otherwise commercially exploits the Website or App Content.

You will not engage in any use of data mining, robots, or similar data gathering and extraction tools or methods; or any derivative use of any MyCarthouse Marketplace Service or its contents.

All rights not expressly granted to you in these Terms and Conditions, including our policies and rules are reserved and retained by MyCarthouse or its licensors, sellers, suppliers, publishers, rightsholders, or other content providers. No MyCarthouse Marketplace Service, nor any part of any MyCarthouse Marketplace Service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the express and written consent of MyCarthouse. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of the website or app without express written consent of MyCarthouse. You may not use any meta tags or any other “hidden text” which utilizes MyCarthouse’s name or trademarks without the express written consent of MyCarthouse. You may not misuse the MyCarthouse Services. The licenses granted by MyCarthouse terminate if you do not comply with these Terms and Conditions or any of our policies and rules.

You agree not to undertake any action which may undermine the integrity of MyCarthouse.com’s computer systems, network systems, feedback system, including those of other users on the MyCarthouse Marketplace.

You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing Services to you if you do not comply with these terms or policies or where we are investigating suspected misconduct.

In connection with your use of the Services, we may send you service announcements, administrative messages, and other communications. You may opt-out of any of those communications at any time.

Privacy Statement
We are committed to protecting your privacy. MyCarthouse.com’s privacy policies explain how we treat your data and protect your privacy when you use our Services. By using our Services, you agree that MyCarthouse.com can use such data following our privacy policies which may be reviewed from time to time to ensure the best possible service to our customers.

Sellers shall be directly responsible to buyers for any misuse of their data and MyCarthouse shall bear no liability to buyers in respect of any misuse by sellers of their data.

The third-party trademarks or service marks on our platform (be it registered or unregistered) are the property of their respective owners and MyCarthouse does not endorse and is not affiliated with any of the holders of any such rights and as such we cannot grant any license to exercise such rights.

Purchases
If you wish to purchase any product or service made available through our marketplace (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your name, residential address, email address, and information on your method of payment.

Subscriptions
Some parts of the Services may be billed on a subscription basis (“Subscription(s)”). That means you will be billed in advance, regularly, following the agreement you reached with us.

Software Use in our Services
Where a Service requires or includes downloadable software, this software may update automatically on your device once a new version or feature is available. Some Services may let you adjust your automatic update settings.

MyCarthouse.com gives you a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to use the software provided to you by us as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by MyCarthouse.com, in the manner permitted by these terms. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

Transactions Between Buyers and Sellers on the Marketplace
You acknowledge and agree that MyCarthouse.com provides online platforms for exchanging information between buyers and sellers of products and services.  MyCarthouse also provides online transaction platforms for Users to place, accept, conclude, manage and fulfill orders for the provision of products and services within the marketplace subject to our terms and conditions and our policies and rules. 

You acknowledge and agree that, in all transactions between buyers and sellers on the marketplace, MyCarthouse.com does not represent either the seller or the buyer in any specific transactions.

Though we have put reasonable systems in place to check abuse on our marketplace, you acknowledge and agree that MyCarthouse.com does not control and is not liable or responsible for the quality, safety, lawfulness, or availability of the products or services offered for sale on the marketplace, the ability of the sellers to complete a sale or the ability of buyers to complete a purchase.

Users are hereby made aware that there may be risks of dealing with people who may be acting under pretense. MyCarthouse.com uses several techniques and methods to verify the accuracy of some information our paying users provide us when they register for a paying user service on the platform.  However, because user verification on the Internet is difficult, MyCarthouse.com cannot and does not confirm each user’s purported identity (including, without limitation, paying users). We encourage you to use various means, including common sense, to evaluate with whom you are dealing with on the marketplace.

Buyers and sellers who may be accessing or using our marketplace or Services shall assume the risks of conducting any business (buying and selling) transactions in connection with or through the marketplace. Buyers and sellers accessing or using the marketplace or Services shall also fully assume all risks of liability or harm of any kind arising out of or in connection with any subsequent activity relating to the products or services that are the subject of the transactions on the marketplace. Examples of such risks shall include, but are not limited to, misrepresentation of products and services, fraudulent schemes, unsatisfactory product quality, failure to meet specifications, defective or dangerous products, unlawful products, delay or default in delivery or payment, cost miscalculations, breach of warranty, breach of contract, transportation accidents, the risk that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the marketplace may violate or may be asserted to violate Third-Party rights and the risk that users may incur costs of defense or other costs in connection with third-parties’ assertion of Third-Party rights, or in connection with any claims by any party that they are entitled to defense or indemnification concerning the assertion of rights, demands or claims by claimants of Third-Party rights. Examples of such risks also include the risk of claims from consumers, other buyers, end-users of products, or other third parties that they have suffered injuries or harm from their use of the products obtained through the marketplace or Services. All of the foregoing risks are referred to as “Transaction Risks”. MyCarthouse.com is not liable or responsible for any damages, claims, liabilities, costs, harm, inconveniences, business disruptions, or expenditures of any kind that may arise as a result of or in connection with any Transaction Risks.

Buyers and sellers on our marketplace are solely responsible for the setting out and performance of the terms and conditions of the transactions conducted on, through, or as a result of the use of our marketplace or Services, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation, and storage, subject to any additional obligations imposed under these Terms and Conditions and our Policies and Rules (and in particular, our Buyer Protection Policy).

The user agrees to provide all information and materials as may be reasonably required by MyCarthouse.com in connection with your transactions conducted on, through, or as a result of the use of the marketplace or Services.  MyCarthouse.com has the right to suspend or terminate any User’s account if the User fails to provide the required information and materials without liability for any losses or damages arising out of or in connection with such suspension or termination.

In the event that any User has a dispute with any party to a transaction, such User agrees to release and indemnify MyCarthouse.com (and our agents, affiliates, directors, officers, and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such dispute or the transaction.

Disclaimer
Exclusions and Limitations

The information contained on this website and related apps are provided on an “as is” basis. To the fullest extent permitted by law, this company:

• excludes all representations and warranties concerning this website, related apps, and its content or that are or may be provided by affiliates or any other third party, including with respect to any inaccuracy or omission in this website/app and/or the Company’s documentation; and
• excludes any liability for damages arising out of or in connection with your use of this website and related apps. MyCarthouse, and MyCarthouse’s suppliers and distributors, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, punitive damages or damage caused to your computer, computer software, systems, and programs and data relating thereto or any other direct or indirect, consequential or incidental damages.

Liability for our Services

To the extent permitted by law, the total liability of MyCarthouse.com, and its suppliers and distributors, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Services.

In all cases, MyCarthouse.com, and its suppliers and distributors, will not be liable for any loss or damage that is not reasonably foreseeable.

However, this company does not exclude liability for death or personal injury caused by its negligence. The above exclusions and limitations apply only to the extent permitted by law. We recognize that in some countries, you might have legal rights as a consumer. None of your legal rights as a consumer are affected or waived by contract.

Business Uses of our Services
If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify MyCarthouse.com and its affiliates, officers, agents, and employees from any claim, suit, or action arising from or related to the use of the Services or violation of these terms by other users, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs, and attorneys’ fees.

Modifying and Terminating our Services
We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether.

The Customer and MyCarthouse.com have the right to terminate any Service Agreement for any reason whatsoever, including the termination of services already in progress. MyCarthouse.com may also stop providing Services to you or add or create new limits to our Services at any time upon reasonable notice.

Refunds Policy
Returns of products bought by buyers and acceptance of returned products by sellers shall be managed following the Return and Refund Policy on the marketplace, as may be amended from time to time.

No refund will be offered when a service is deemed to have commenced and is, for all intents and purposes, in progress. Any amount paid to us that constitutes payment for the provision of unused Services will be refunded.

Log Files
We use IP addresses to analyze trends, administer the site, track user’s movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information. Additionally, for systems administration, detecting usage patterns, and troubleshooting purposes, our web servers automatically log standard access information including browser type, access times/open mail, URL requested, and referral URL. This information is not shared with third parties and is used only within this Company on a need-to-know basis. Any individually identifiable information related to this data will never be used in any way different to that stated above without your explicit permission.

Force Majeure

Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavors to comply with the terms and conditions of any Agreement contained herein.

Waiver
Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.

About these Terms

We reserve the right to modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. If a revision is material, we will provide at least 7 days’ notice before any new terms will take effect.
